Terms of Service (Website, AI, Platform & Automation Services)
This Terms of Service Agreement ("Agreement") is entered into by and between any individual or business ("Client") and Nova Solutions AI LLC ("Service Provider") upon acceptance of these terms through payment, written agreement, checkbox confirmation, subscription signup, or use of services.
By purchasing or using services from Nova Solutions AI LLC, the Client agrees to all terms outlined below.
SECTION 1: WEBSITE SERVICES
(APPLIES ONLY TO WEBSITE CLIENTS)
1.1 Scope of Website Services
- Custom website design and development
- Mobile and desktop optimization
- Contact and/or booking integration
- SEO optimization
1.2 Website Payment Terms
- Full payment is required before work begins unless otherwise agreed
- Payment may be one-time or financed through providers such as Klarna, Affirm, or Afterpay
- Nova Solutions receives full payment upfront from financing providers
- All payments are non-refundable once work has begun, however the Client is protected under the delivery obligations outlined in Section 1.3
1.3 Website Timeline & Delivery
Estimated completion: 3–7 business days after receiving all required content.
If Nova Solutions fails to deliver without valid cause:
- A revised timeline will be provided, OR
- A partial or full refund may be issued depending on completion status
Nova Solutions is committed to completing all agreed work in a professional and timely manner, ensuring the Client receives the full value of the service purchased.
Delays caused by the Client will extend timelines and do not qualify for refunds.
1.4 Website Revisions
Nova Solutions offers unlimited revisions to ensure Client satisfaction.
However:
Revisions must remain within the original scope.
Revisions include:
- Design adjustments
- Layout changes
- Text and image updates
Revisions do not include:
- New pages not originally discussed
- Major redesigns after approval
- New features or functionality
Additional work may result in additional charges.
Nova Solutions will continue working with the Client within the agreed scope until the Client is reasonably satisfied with the final result.
1.5 Website Ownership
- Ownership transfers after full payment and project completion
- Nova Solutions retains the right to showcase the project
1.6 Hosting & Maintenance
- Hosting and maintenance are not included unless separately agreed
- Optional maintenance services may be offered
- Nova Solutions is not responsible for issues after delivery without maintenance
SECTION 2: AI, PLATFORM & AUTOMATION SERVICES
(APPLIES TO AI, CRM, PORTAL & AUTOMATION CLIENTS)
2.1 Scope of AI & Platform Services
Nova Solutions AI LLC may provide services including but not limited to:
- AI call agent setup and deployment
- Automation workflows and integrations
- Call handling and system configuration
- CRM software access
- AI-powered communication systems
- SMS and email systems
- Lead management systems
- Pipeline and analytics dashboards
- Client portal access
- Appointment booking systems
- Ongoing maintenance and support
- Business automation software and integrations
Services may be powered through Nova Solutions systems and/or third-party software providers including but not limited to:
- GoHighLevel
- Stripe
- Twilio
- OpenAI
- Retell AI
- Other approved integrations and software providers
2.2 Payment Terms
Services may include:
- One-time setup fees
- Monthly recurring subscription fees
- Annual subscription plans
- Usage-based billing
All payments are:
- Due as agreed
- Automatically recurring if subscribed to a monthly or yearly plan
- Non-refundable once services, software access, automations, or setup work have begun
By purchasing a subscription plan, the Client authorizes Nova Solutions AI LLC to process recurring payments through Stripe or other approved payment processors according to the selected subscription plan.
Failure to make payments may result in:
- Suspension of services
- Removal of platform access
- Termination of services
- Recovery actions if necessary
Nova Solutions will provide agreed AI, platform, and automation services professionally and maintain active systems to the best of its ability during active service periods.
2.3 Platform Usage & License
All systems, workflows, scripts, automations, software configurations, CRM structures, AI systems, and related technology remain the exclusive property of Nova Solutions AI LLC unless otherwise agreed in writing.
The Client is granted:
- A limited, non-exclusive, non-transferable license for internal business use only
The Client may NOT:
- Copy or replicate systems
- Resell platform access
- Reverse engineer software or workflows
- Share account access without authorization
- Replicate Nova Solutions automation structures or AI systems
2.4 Subscription Billing, Cancellation & Termination
Clients must provide at least 30 days written notice to cancel recurring services.
After cancellation notice:
- Services may remain active during the notice period
- All applicable fees must still be paid
- No partial refunds will be issued for unused time
- Platform access may be suspended or removed after cancellation
Failure to provide proper cancellation notice may result in continued billing for the following billing cycle.
Nova Solutions AI LLC reserves the right to:
- Suspend services for non-payment
- Remove platform access
- Enforce collection of outstanding balances
- Terminate services for abuse, fraud, unlawful activity, or violations of these terms
2.5 Third-Party Platform Disclaimer
Nova Solutions AI LLC utilizes third-party software providers and infrastructure.
Nova Solutions is not responsible for:
- Third-party outages
- API failures
- Carrier delivery failures
- Platform downtime
- Software bugs
- Hosting interruptions
- External service disruptions
- Policy changes from third-party providers
2.6 AI & Automation Disclaimer
The Client understands that AI-generated systems and automations may occasionally produce inaccurate responses, delays, or unintended outputs.
Nova Solutions AI LLC does not guarantee:
- Revenue increases
- Lead generation results
- Customer conversions
- Exact automation outcomes
- AI-generated response accuracy in every situation
- Business growth or financial outcomes
However, Nova Solutions agrees to provide services according to agreed specifications and industry standards during active service periods.
2.7 SMS, Email & Communication Compliance
The Client is solely responsible for ensuring compliance with all applicable communication laws and regulations including but not limited to:
- TCPA
- CAN-SPAM
- A2P messaging regulations
- Contact consent requirements
- Opt-in and opt-out compliance
Nova Solutions AI LLC is not liable for misuse of communication systems, campaigns, automations, SMS marketing, or email marketing by the Client.
2.8 Limitation of Liability
Nova Solutions AI LLC shall not be liable for:
- Lost revenue
- Lost leads
- Loss of business
- Business interruption
- Data loss
- Automation failures
- Missed communications
- Third-party platform failures
- Service downtime
- AI-generated inaccuracies
The Client agrees that use of all software, automation systems, AI tools, communication systems, CRM systems, and platform services is at their own business risk.
SECTION 3: GENERAL TERMS
(APPLIES TO ALL CLIENTS)
3.1 Client Responsibilities
The Client agrees to:
- Provide all required content and access
- Communicate in a timely manner
- Review and approve work
Failure to do so may delay services and does not qualify for refunds.
3.2 Chargebacks & Payment Disputes
By accepting this Agreement, the Client acknowledges:
- Work may begin immediately after payment
- Digital services are non-returnable once started
The Client agrees not to initiate disputes for services that are:
- Delivered
- In progress
- Partially completed
In the event of a dispute:
- This Agreement serves as proof of authorization
- Nova Solutions may pursue recovery
3.3 No Guarantees
Nova Solutions does not guarantee:
- Revenue or business results
- SEO rankings
- Lead generation outcomes
- AI-generated results
- Platform uptime
- Automation outcomes
3.4 Limitation of Liability
Nova Solutions shall not be liable for:
- Loss of business, revenue, or profits
- Third-party platform failures
- Downtime or interruptions
- Data loss
- Automation failures
- AI inaccuracies
3.5 Force Majeure
Nova Solutions is not responsible for delays due to events outside reasonable control.
3.6 Dispute Resolution
Disputes will be handled through:
- Good-faith negotiation
- Mediation
- Binding arbitration if necessary
3.7 Governing Law
This Agreement is governed by the laws of the State of New Jersey.
3.8 Acceptance of Terms
By completing payment through Stripe, subscribing to services, or selecting the agreement checkbox, the Client confirms that they:
- Have read and understood this Agreement
- Agree to all terms
- Authorize Nova Solutions AI LLC to begin services
- Authorize recurring billing if subscribed to a recurring plan
